JOINING MANUMISSION
Contract Agreement
A: The Agreement of the Parties (to be know as Manumission Management Consultants (MMC)
A1: The agreement is between MMC and those details set out in the following appendices.
B: Obligations of Manumission Management Consultants

B1: MMC shall exercise reasonable skill and care in the performance of the services provided.
B2: MMC will provide a business management and contract administration service that will include the following:
a. Business Plan - Reviewed monthly
b. General Business/Office Administration
c. Estimating based on information provided by

d. Contract Administration for all projects
B3: MMC will charge for any other services as inserted in the appendices or on written instructions at the rate of ......... total turnover inclusive of all materials and labour.
C: Obligations of .........................................................
C1: ................................ shall pay MMC within two days of receipt of client payments as set out in the appendices.
C2: Clients non-payment to ............................ due to poor workmanship and materials does not eliminate payment to MMC for payment that would be due.
C3: All sums due under this agreement are exclusive of Value Added Tax the amount of
which shall be paid by ....................... to MMC at the rate and in the
manner prescribe by law should it be applicable.
C4: ....................... is responsible for all site management of their organisation.
D: Termination
D1: .......................... may terminate the contract with MMC in the event of a breach of this agreement or in an
event of insolvency by giving two weeks notice in writing.
D2: MMC may terminate the contract with ...................... in the event of a breach of this agreement or in an
event of insolvency by giving two weeks notice.
D3: In the event of any termination (with the exception D1 and D2 one month's notice must be given by
either party with all outstanding payments to be made immediately to MMC.
E: Copyright Licence Publicity and Confidentiality
E1: Neither party shall disclose to any other person any private or confidential information concerning
the business of the other party unless so authorised by the other party.
E2: Any customers generated by this agreement via MMC for ................... would continue to be the property
of MMC further to this agreement being finished.
F: Liability and Insurance
F1: Full insurance to enable ...................... to work within the trade designated must be current and available
for inspection.
G: Dispute and/or Differences
G1: the parties shall attempt in good faith to settle any dispute by mediation with the assistance of a
Chartered Surveyor or a representative of the industry that they trade within.
G2: Disputes that cannot be resolved by mediation will be resolved by litigation.
H: General
I: Notices
I1: Any notice under this agreement shall be in writing and given by sending the same first class letter
at the addresses shown in the appendices. For the avoidance of doubt any notice sent by email shall not
be an effective notice under this agreement. Notices shall take effect went they have been received.
